Terms and Conditions of Use

1. Acceptance of These Terms

By registering for, accessing or using a PrymACE Port, PrymACE website, mobile application, account or related service, you acknowledge that you have read, understood and agreed to these Terms.

If you do not agree with these Terms, you should not register for or use the PrymACE Port services.

Where a person uses PrymACE on behalf of a company, institution, household, organization or other entity, that person represents that they have the authority to bind that entity to these Terms.

PrymACE may require a user to accept updated Terms before continuing to use certain services.

2. About PrymACE Port — The Waste-Capital Exchange

PrymACE Port is the principal public interface between contributors and the PrymACE WARE system.

The Port receives qualifying waste and resource materials and establishes the first verified digital record of their entry into the PrymACE resource economy.

The fundamental Port process is:

The Port does not merely function as a conventional waste collection point. It functions as a resource-entry, measurement, valuation and digital-credit facility within PrymACE.

3. Types of PrymACE Ports

PrymACE may establish or authorize different Port categories according to the source and volume of materials.

Residential Port — serves households and individual contributors. It may receive qualifying materials generated through ordinary residential activities.

Commercial Port — serves businesses, shops, offices, institutions, service providers and other commercial establishments.

Industrial Port — serves factories, processing facilities, construction activities and other industrial contributors whose material volumes and characteristics require specialized handling.

PrymACE may establish additional Port classifications where operational, technical or regulatory requirements make such classification necessary.

4. Eligibility to Use PrymACE Port

Subject to applicable law and PrymACE operating requirements, users may include:

• Individuals
• Households
• Businesses
• Commercial establishments
• Institutions
• Industrial organizations
• Community organizations
• Registered agents
• Authorized partners
• Other approved contributors

PrymACE may establish eligibility requirements for particular materials, facilities, locations, accounts or programs.

5. Account Registration

A person wishing to receive digital credits or access account-based PrymACE services may be required to create a PrymACE account.

Depending on the account type, PrymACE may require information such as:

• Full name or registered entity name
• Telephone number
• Email address
• Residential or business information
• Account category
• Payment or withdrawal information where applicable
• Business registration information for organizations
• Tax or regulatory information where legally required
• Other information reasonably necessary to operate the service

Users must provide information that is accurate, current and not misleading. PrymACE may verify information supplied during registration.

6. Account Security

Each user is responsible for protecting their account credentials, authentication information and devices used to access the PrymACE system.

Users must not:

• Share passwords or authentication credentials
• Allow unauthorized persons to operate their account
• Create fraudulent accounts
• Impersonate another person or entity
• Attempt to access another user's account
• Circumvent PrymACE security mechanisms

Users should promptly notify PrymACE if they believe their account has been compromised.

PrymACE may temporarily restrict an account where there is reasonable evidence of unauthorized access, fraud, manipulation or other security concerns.

7. Contribution of Materials

A contributor may present qualifying materials at an authorized PrymACE Port. The contributor must:

• Present materials honestly
• Disclose relevant information concerning the material where requested
• Comply with Port personnel instructions
• Follow applicable safety procedures
• Avoid mixing prohibited materials with qualifying materials
• Not intentionally conceal hazardous or restricted materials
• Provide reasonable cooperation during inspection, weighing and classification

PrymACE reserves the right to refuse materials that do not meet its acceptance requirements.

8. Material Acceptance

Not every material presented at a Port automatically qualifies for credit. Acceptance may depend on:

• Material type
• Physical condition
• Contamination level
• Quantity
• Moisture content
• Recoverability
• Processing requirements
• Safety considerations
• Environmental requirements
• Applicable law
• Current PrymACE processing capacity
• The operational requirements of downstream Pools

PrymACE may publish or periodically update an Accepted Materials Schedule identifying materials that are accepted, conditionally accepted or prohibited.

9. Prohibited or Restricted Materials

Users must not deposit materials that PrymACE has identified as prohibited or restricted. This may include, depending on applicable law and PrymACE's acceptance schedule:

• Hazardous materials
• Materials presenting unreasonable fire, explosion, toxic or biological risks
• Improperly handled chemicals
• Unauthorized medical or clinical waste
• Certain electronic or hazardous waste
• Radioactive materials
• Ammunition or weapons
• Illegal substances
• Pressurized containers presenting unacceptable risk
• Materials contaminated with dangerous substances
• Stolen materials
• Materials subject to legal seizure or ownership restrictions
• Any other material that PrymACE determines cannot safely or lawfully enter its system

PrymACE will not accept a material merely because it has potential economic value. Safety, legality and environmental compliance take precedence over valuation.

Ghanaian environmental rules place restrictions on the handling, transportation and depositing of hazardous waste, so PrymACE operations must be aligned with applicable regulatory requirements.

10. Ownership and Authority to Deposit

By presenting material for contribution, the contributor represents that they:

• Own the material; or
• Have lawful authority to transfer or contribute it

A user must not deposit stolen, unlawfully obtained or disputed property.

Where ownership of material is reasonably disputed, PrymACE may suspend processing or crediting until the matter is resolved. PrymACE may cooperate with competent authorities where legally required.

11. Weighing and Measurement

The quantity of qualifying material is determined using PrymACE-approved weighing or measurement equipment.

The recorded weight may be affected by:

• Equipment calibration
• Packaging
• Containers
• Moisture
• Foreign material
• Contamination
• Tare weight
• Material composition
• Applicable measurement procedures

PrymACE's official system record will constitute the primary operational record of a transaction, subject to correction where an error is established.

Where appropriate, the user may receive or view a digital transaction record showing the relevant transaction information.

12. Resource Identification

After weighing, PrymACE may identify or classify the deposited material according to its resource characteristics. Classification may consider:

• Material type
• Composition
• Grade
• Recoverability
• Contamination
• Processing requirements
• Downstream application
• Prevailing PrymACE resource classification standards

A material's physical appearance alone does not necessarily determine its resource classification.

13. Resource Valuation

PrymACE may assign a digital value to qualifying material based on its verified weight and applicable PrymACE valuation rules. Valuation may consider:

• Verified quantity
• Material category
• Quality
• Contamination
• Processing requirements
• Market or resource conditions
• Operational costs
• Location
• Recovery potential
• Applicable PrymACE valuation schedules

PrymACE may modify valuation rules where necessary for operational, economic, technical, environmental or regulatory reasons.

14. Ace-Point

Ace-Point is the basic digital contribution unit of the PrymACE value system.

Under the current PrymACE conversion model: 1 kilogram of qualifying verified waste/resource = 1 Ace-Point.

Accordingly: 1 kg → 1 Ace-Point, and 100 Ace-Points → 1 Ace-Coin.

However, Ace-Points are generated only for qualifying and verified material accepted by PrymACE. A user does not automatically earn an Ace-Point simply by presenting any material at a Port.

15. Ace-Coin

Ace-Coin is the higher-value digital unit within the PrymACE ecosystem.

The current conversion model is 100 Ace-Points = 1 Ace-Coin, and the stated PrymACE reference value is 1 Ace-Coin = GH₵10.

Therefore: 1 kg qualifying material → 1 Ace-Point; 100 kg qualifying material → 100 Ace-Points; 100 Ace-Points → 1 Ace-Coin → GH₵10 reference value.

Any cash withdrawal, redemption or external-currency conversion is subject to the specific PrymACE program rules, applicable payment arrangements, verification requirements, applicable charges and applicable law.

16. Digital Value Is Not Automatically Cash

Ace-Points and Ace-Coin operate within the PrymACE ecosystem. Their existence in a user's account does not, by itself, constitute a guaranteed immediate cash payment.

Where PrymACE permits withdrawal or conversion into Ghanaian Cedis, the user must satisfy applicable:

• Account verification requirements
• Minimum withdrawal thresholds
• Transaction requirements
• Payment procedures
• Identity or business verification requirements
• Fraud and compliance checks
• Applicable legal requirements

PrymACE may also permit eligible Ace-Coin to be used for approved PrymACE products, services, technologies or Market activities.

17. Value Calculation and Display

The PrymACE website or application may display:

• Deposited weight
• Material category
• Ace-Points earned
• Ace-Coin balance
• Transaction history
• Indicative value
• Accumulated contributions
• Other account information

Where a calculation is only an estimate, simulation or demonstration, it will be identified accordingly. Users must not treat an illustrative calculator as a guaranteed financial return.

18. Transaction Confirmation

A Port transaction may be considered complete when:

• The material has been presented
• The material has been inspected
• The accepted quantity has been determined
• The material has been classified
• The applicable valuation has been determined
• The corresponding digital transaction has been recorded

Where verification remains pending, PrymACE may mark the transaction as Pending, Under Review or another appropriate status.

19. Correction of Errors

If a user believes that a transaction has been incorrectly recorded, the user should report the issue through the designated PrymACE support channel.

A correction request should provide:

• Transaction reference
• Date and location
• Relevant material
• Recorded quantity
• Nature of the alleged error
• Supporting information where available

PrymACE may investigate transaction records, weighing records, system logs and other relevant information. Where an error is confirmed, PrymACE may correct the account accordingly.

20. Fraud and Manipulation

Users must not attempt to manipulate the PrymACE value system. Prohibited conduct includes:

• Submitting the same material repeatedly
• Artificially increasing recorded weight
• Tampering with weighing equipment
• Falsifying material classifications
• Creating duplicate accounts to obtain improper benefits
• Submitting stolen material
• Manipulating digital records
• Exploiting software vulnerabilities
• Falsifying documents
• Colluding with personnel or partners
• Attempting to obtain Ace-Points or Ace-Coin without a corresponding qualifying contribution

PrymACE may reverse improperly generated credits and restrict or terminate accounts involved in fraudulent activity. Where appropriate, suspected unlawful conduct may be reported to competent authorities.

21. PrymACE Port Partners

PrymACE may appoint or approve collection agents and other partners who collect qualifying materials from the public and deliver them to authorized PrymACE Ports.

A Port partner operates under separate partnership terms and technical requirements. A contributor should ensure that materials handed to a collection partner are recorded through the approved PrymACE process.

Unless expressly authorized, an independent collector does not have authority to:

• Alter PrymACE valuation rules
• Create Ace-Coin
• Promise guaranteed financial returns
• Represent themselves as PrymACE management
• Modify user accounts
• Accept materials outside the approved PrymACE process

22. Commercial and Industrial Contributors

Commercial and industrial contributors may be subject to additional requirements because of the scale, composition and nature of their materials. PrymACE may require:

• Scheduled deliveries
• Material manifests
• Source documentation
• Pre-approval
• Specialized packaging
• Dedicated Port arrangements
• Quality specifications
• Environmental documentation
• Transportation requirements
• Additional inspection

Large-volume contributors may be placed under a separate commercial resource-contribution agreement.

23. Port Access and Safety

Users entering a PrymACE facility must comply with all safety instructions. PrymACE may restrict access to operational areas and may require:

• Identification
• Protective equipment
• Supervised access
• Vehicle controls
• Designated unloading zones
• Safety orientation
• Compliance with facility procedures

Users must not enter restricted operational areas without authorization.

24. Transportation of Materials

Unless specifically agreed otherwise, the contributor is responsible for safely bringing material to the designated Port. Where PrymACE or an authorized partner provides collection services, separate transportation terms may apply.

Materials must be packaged, contained and transported in accordance with applicable requirements. PrymACE may refuse material delivered in an unsafe or non-compliant manner.

25. Transfer into the PrymACE WARE System

Once qualifying material has been accepted and recorded, it enters the PrymACE WARE processing chain. The general resource route is:

The contributor acknowledges that deposited materials may be processed, transformed, combined, separated, recovered or converted into other materials and products.

26. No Guarantee of Specific Downstream Product

A contributor does not acquire ownership of any specific product, mineral, material or technology subsequently produced from their deposited material unless a separate written agreement expressly provides otherwise.

The contributor's entitlement under the ordinary Port system is based on the applicable digital value credited to their account.

27. Environmental Responsibility

PrymACE is designed around resource recovery and the reduction of unnecessary disposal. However, PrymACE does not represent that every material can be completely recovered or that every operation has zero environmental impact.

Processing activities may involve:

• Sorting
• Mechanical processing
• Thermal processing
• Mineral recovery
• Material treatment
• Stabilization
• Formulation
• Other industrial processes

Such activities must be conducted under applicable environmental, health and safety requirements and relevant permits or approvals.

Ghana's Environmental Protection Authority provides environmental compliance and permitting functions, including digital services for permits and licences.

28. Personal Data

PrymACE may collect and process personal information necessary to provide its services. This may include:

• Account information
• Contact information
• Transaction history
• Contribution records
• Location information where necessary for services
• Device information
• Authentication information
• Communications with PrymACE

PrymACE shall use personal data for legitimate operational purposes, including account management, transaction processing, customer support, security, system improvement and legal or regulatory compliance.

PrymACE should maintain a separate Privacy Policy explaining its data practices in greater detail.

This is particularly important because Ghana's Data Protection Act, 2012 (Act 843) regulates the collection, use, disclosure and care of personal information, and the Data Protection Commission identifies requirements such as lawfulness, transparency, data minimization, purpose limitation and accountability.

29. Communications

By creating an account, users may receive communications relating to:

• Transactions
• Account activity
• Ace-Point balances
• Ace-Coin activity
• Port announcements
• Service changes
• Security notices
• Account verification
• Operational notifications
• Other essential PrymACE services

Marketing communications should be managed in accordance with applicable consent and privacy requirements.

30. System Availability

PrymACE will seek to maintain reliable access to its website, application and digital services. However, uninterrupted availability cannot be guaranteed.

Services may temporarily become unavailable because of:

• Maintenance
• Software upgrades
• Telecommunications failures
• Power interruptions
• Cybersecurity incidents
• Hardware failures
• Third-party service interruptions
• Regulatory requirements
• Emergencies
• Circumstances beyond PrymACE's reasonable control

31. Digital Records

PrymACE may maintain electronic records of:

• User accounts
• Port transactions
• Weights
• Material classifications
• Credits
• Account adjustments
• Redemptions
• System activities
• Security events
• Other operational information

These records may be used for auditing, verification, accounting, system management and dispute resolution.

32. Fees and Charges

PrymACE may introduce fees for particular services. Any applicable fees should be clearly communicated before the relevant service is provided, except where a fee is imposed by law or an external service provider.

Possible charges may include:

• Specialized collection
• Transportation
• Processing
• Account services
• Withdrawal
• Replacement services
• Commercial handling
• Other approved services

No undisclosed fee should be represented as part of the standard Port contribution process.

33. Taxes

Users are responsible for understanding and meeting their own tax obligations arising from their participation in PrymACE, where applicable.

PrymACE may provide transaction records or other documentation where required by law.

34. User Responsibilities

Every user agrees to:

• Provide truthful information
• Contribute only materials they are legally entitled to contribute
• Comply with Port procedures
• Comply with safety instructions
• Protect their account
• Report suspicious transactions
• Avoid system manipulation
• Respect PrymACE personnel and other users
• Comply with applicable law
• Use PrymACE only for legitimate purposes

35. PrymACE Responsibilities

Subject to these Terms, PrymACE will seek to:

• Provide accessible Port services
• Accurately measure accepted materials
• Maintain appropriate transaction records
• Operate appropriate valuation procedures
• Maintain digital account functionality
• Provide reasonable transaction information
• Maintain appropriate safety and environmental procedures
• Address legitimate customer complaints

36. Suspension or Termination

PrymACE may suspend or terminate an account where there is reasonable evidence of:

• Fraud
• Unlawful activity
• Material misrepresentation
• Abuse of the system
• Security violations
• Repeated violation of Port procedures
• Submission of prohibited materials
• Manipulation of measurements
• Unauthorized access
• Non-compliance with applicable requirements
• Other conduct that threatens the integrity of the PrymACE system

Where appropriate, PrymACE may provide notice and an opportunity to resolve the issue.

37. Effect of Account Termination

Termination does not automatically erase legitimate historical transaction records required for:

• Accounting
• Legal compliance
• Auditing
• Fraud prevention
• Dispute resolution
• Other legitimate purposes

Any outstanding eligible balance will be handled in accordance with the applicable PrymACE rules and applicable law.

38. Intellectual Property

The PrymACE name, logo, interface designs, software, databases, graphics, system architecture, content, processes, trademarks and related intellectual property are owned by or licensed to PrymACE/ECLACEA as applicable.

Users may not reproduce, modify, distribute, reverse engineer, commercialize or exploit PrymACE intellectual property without authorization.

39. System Integrity

Users must not:

• Reverse engineer the PrymACE application
• Interfere with system operation
• Introduce malicious software
• Attempt unauthorized penetration
• Scrape protected account data
• Manipulate APIs without authorization
• Interfere with transaction records
• Circumvent access controls

PrymACE may use technical, organizational and security measures to protect the integrity of the system.

40. Third-Party Services

PrymACE may integrate with external service providers for:

• Payments
• Communications
• Identity verification
• Mapping
• Cloud infrastructure
• Analytics
• Transportation
• Banking or financial services
• Other supporting functions

Third-party services may have their own terms and privacy requirements.

41. Customer Complaints

Users should first submit complaints through the official PrymACE support channel. A complaint should include sufficient information to allow PrymACE to investigate the matter.

PrymACE may establish different complaint channels for:

• Port transactions
• Account problems
• Weighing disputes
• Ace-Point disputes
• Ace-Coin transactions
• Partner conduct
• Technical problems
• Environmental or safety concerns

42. Disputes Concerning Weight or Value

Where a contributor disputes a transaction, PrymACE may review:

• Weighing records
• Transaction timestamps
• Port records
• Equipment records
• Photographs or other permitted evidence
• Material classification
• System logs
• Staff records

The final determination will be made in accordance with PrymACE's approved dispute-resolution procedure and applicable law.

43. Limitation of Liability

To the extent permitted by applicable law, PrymACE shall not be responsible for losses arising from:

• Inaccurate information supplied by the user
• Unauthorized use of a user's account
• Failure to follow Port procedures
• Prohibited material deposited by a user
• Circumstances outside PrymACE's reasonable control
• Temporary system interruption
• Third-party service failure
• Unlawful conduct by another user

Nothing in these Terms excludes liability that cannot lawfully be excluded.

44. Force Majeure

PrymACE shall not be liable for failure or delay caused by circumstances beyond its reasonable control, including:

• Natural disasters
• Major infrastructure failure
• Civil emergencies
• Governmental action
• Regulatory restrictions
• Telecommunications failure
• Prolonged power failure
• Severe security incidents
• Epidemic or public-health emergencies
• Other extraordinary circumstances

45. Changes to PrymACE Services

PrymACE may improve, modify, suspend or discontinue aspects of its Port services. Changes may include:

• New Port technologies
• New material categories
• Revised valuation methodologies
• New account features
• New payment mechanisms
• Revised operational procedures
• Changes required by law or regulation

Material changes to these Terms should be communicated through appropriate channels.

46. Changes to Ace-Point and Ace-Coin Rules

Because the PrymACE value system is an operating economic system, PrymACE may establish detailed rules governing:

• Eligible materials
• Valuation
• Verification
• Conversion
• Redemption
• Minimum balances
• Transaction limits
• Fees
• Withdrawal procedures
• Other value-system functions

Any change affecting the stated conversion model should be clearly communicated before becoming applicable, subject to applicable law.

47. No Guarantee of Market Value

The stated GH₵10 reference value per Ace-Coin represents the PrymACE system's stated conversion value under the current model.

It should not automatically be interpreted as a promise that every Ace-Coin can be exchanged indefinitely for cash under every circumstance.

Redemption arrangements must be governed by the applicable PrymACE financial, operational and legal framework.

48. Responsible Participation

PrymACE encourages users to understand that the value of the system depends upon the integrity of the entire resource chain. A successful contribution therefore requires:

The objective is not simply to reward disposal. It is to create a reliable connection between resource recovery, environmental improvement and economic participation.

49. Governing Law

These Terms should be governed by the laws of the Republic of Ghana, unless a specific service agreement provides otherwise or applicable law requires a different jurisdiction.

Any dispute that cannot be resolved through PrymACE's internal complaint and dispute-resolution process may be referred to the appropriate forum under applicable Ghanaian law.

50. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions shall continue to operate to the extent permitted by law.

51. Entire Agreement

These Terms, together with the PrymACE Privacy Policy, Accepted Materials Schedule, applicable Port rules, value-system rules and any specific agreements accepted by the user, constitute the applicable agreement governing use of PrymACE Port services.

Where a specific written agreement conflicts with these general Terms, the specific agreement will govern the relevant transaction to the extent of the conflict.
